These Official Rules (the “Rules”) govern the Nautilus Webinar Blackstone Grill Giveaway (the “Sweepstakes”). By entering, you agree to be bound by these Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes.

1. Sponsor

Nautilus, Inc. (the “Sponsor”), a Delaware corporation. Contact: contact@nautilus.co.

2. Eligibility

Open only to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older (or the age of majority in their state of residence, whichever is older) at the time of entry. Employees, officers, directors, contractors, and agents of Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, and immediate family/household members of each are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

3. Sweepstakes Period

The Sweepstakes begins at August 13, 2025 at 12:01 a.m. Eastern Time (ET) and ends at August 25, 2025 at 2:30 p.m. Eastern Time (ET) (the “Entry Period”). Sponsor’s clock is the official timekeeper.

4. How to Enter

You may enter by either method below. Each person may have one (1) total entry, regardless of method.

A. Webinar Entry (Primary Method)

During the Entry Period, complete the official webinar registration form at https://nautilus.co/webinar. Your completed registration will count as one (1) entry. Attendance is encouraged but not required.

B. Alternate Method of Entry (AMOE) — No Webinar Required

During the Entry Period, send an email to contact@nautilus.co with the subject line: “Webinar Grill Giveaway Entry.” In the body of the email, include your full name, city/state of residence, phone number, and email address, and the statement: “I have read and agree to the Official Rules.” Limit one (1) email entry per person.

Entry Limits & Restrictions

• Limit one (1) entry per person and per email address for the entire Sweepstakes, regardless of entry method. Duplicate, automated, bulk, or third‑party entries are prohibited and will be disqualified.

• Incomplete or illegible entries are void. Proof of sending does not constitute proof of receipt by Sponsor.

5. Prize; Approximate Retail Value (ARV)

One (1) prize: a Blackstone® 36" Griddle with Hood (4‑Burner). ARV: $599. Total ARV of all prizes: $599.

Prize details: Sponsor will determine model, features, and color in its sole discretion if not specified. Prize includes standard ground shipping to a street address in the 50 U.S./D.C. (no P.O. boxes). Winner is responsible for any assembly, fuel, accessories, and any costs not expressly stated. If the designated model is unavailable or shipping is commercially impracticable, Sponsor may substitute a prize of equal or greater value, including a gift card or equivalent value in merchandise. No cash alternative except at Sponsor’s sole discretion. Prize is non‑transferable and may not be re‑sold for commercial purposes.

6. Winner Selection; Odds

Within 2 business days after the end of the Entry Period, Sponsor will conduct a random drawing from among all eligible entries received to select one (1) potential winner. Odds of winning depend on the number of eligible entries received.

7. Winner Notification & Verification

The potential winner will be notified by email using the contact information provided at entry. The potential winner must respond within 48 hours of first attempted notification (or by the deadline stated in the notice) and may be required to complete, sign, and return an Affidavit of Eligibility, Liability/Publicity Release (where lawful), IRS Form W‑9, and/or other documentation within 5 business days. If the prize value is $600 or more, Sponsor will issue an IRS Form 1099 to the winner. Because the prize ARV is $599, Sponsor does not anticipate issuing a Form 1099. If the potential winner does not timely respond, fails to complete verification, is ineligible, or declines the prize, the prize may be forfeited and an alternate winner selected at Sponsor’s discretion.

8. Taxes

All federal, state, and local taxes and any other costs and expenses associated with prize acceptance and use not specified as provided herein are the sole responsibility of the winner.

9. Publicity

Where lawful, acceptance of the prize constitutes permission for Sponsor and its designees to use winner’s name, city/state, likeness, statements, and entry for advertising, promotional, and other purposes in any media now known or hereafter devised, worldwide, without additional compensation or notice.

10. Conduct; General Conditions

Sponsor reserves the right, in its sole discretion, to cancel, suspend, and/or modify the Sweepstakes or any part of it if fraud, technical failures, force majeure, or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor. Sponsor further reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws; should such an attempt be made, Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

11. Release & Limitation of Liability

By participating, entrants agree to release and hold harmless Sponsor, its parent, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and each of their respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use/misuse of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage‑due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt, use, or misuse of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys’ fees. NO INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above may not apply to you.

12. Disputes; Governing Law; Venue

Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state or federal courts located in Wilmington, Delaware; (2) any and all claims, judgments, and awards shall be limited to actual out‑of‑pocket costs incurred, but in no event attorneys’ fees; and (3) under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, indirect, punitive, incidental, or consequential damages and any other damages, other than for actual out‑of‑pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules.

13. Privacy

Information collected from entrants is subject to Sponsor’s Privacy Policy: https://nautilus.co/privacy. Sponsor will use personal information to administer the Sweepstakes and for other purposes consistent with the Privacy Policy. By entering, you consent to such processing.

14. Winner List and Rules Requests

For the name of the winner (first initial, last name, and state) or a copy of these Official Rules, email contact@nautilus.co with the subject “Winner List Request.” Requests must be received within 60 days after the end of the Entry Period.

15. Third‑Party & Platform Disclaimers

This Sweepstakes is not sponsored, endorsed, or administered by, or associated with Blackstone®, Blackstone Products, LinkedIn, Zoom, Microsoft Teams, Google, YouTube, X (Twitter), Facebook, Instagram, or any other third party platform used to advertise or administer the Sweepstakes. You understand you are providing your information to Sponsor and not to any such third party. Blackstone® is a registered trademark of its respective owner, which is not a sponsor of or affiliated with this promotion.

16. Additional Notes for Compliance (Non‑Binding Guidance)

• If the total prize ARV is $600 or more, winner must complete a Form W‑9; Sponsor will issue an IRS Form 1099 for the tax year in which the prize is awarded.

• Consider excluding P.O. boxes and requiring a U.S. street address for delivery.

• If the total ARV of prizes offered in this promotion is $5,000 or more, certain states may require registration/bonding. Consult counsel to determine if additional filings are necessary.
